These Terms apply to your use of our website at any domain operated by Concordia Partners, your submission of inquiries through our contact form, and any advisory, consulting, or professional services we provide to you.

If you are accessing our website or engaging our services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.`

Services & Engagement

Concordia Partners provides boutique advisory and consulting services in the areas of partnership strategy, marketing, commercial structuring, and related disciplines. Our services are provided to a select number of clients and are subject to our availability and mutual agreement.

Engagement Agreements

Any formal engagement of our services is governed by a separate written agreement ("Engagement Agreement") entered into between Concordia Partners and the client. In the event of any conflict between these Terms and an Engagement Agreement, the Engagement Agreement shall control with respect to the services covered by it. 

No Guarantee of Engagement

Submission of an inquiry through our website does not constitute an offer or agreement to provide services. We reserve the right to decline any inquiry or engagement at our sole discretion. An engagement is only established upon execution of a written Engagement Agreement signed by an authorized representative of Concordia Partners.

Independent Contractor Status

Concordia Partners operates as an independent contractor. Nothing in these Terms or any Engagement Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship between Concordia Partners and any client.

Fees and Payment

Fees for services are set forth in the applicable Engagement Agreement. Unless otherwise specified, invoices are due within 30 days of the invoice date. Concordia Partners reserves the right to suspend services in the event of non-payment. Fees are non-refundable except as expressly stated in the Engagement Agreement.

Website Use

You may use our website for lawful purposes only and in a manner that does not infringe the rights of others or restrict or inhibit their use of the website.

Permitted Use

You are permitted to access and view the content on our website for your personal or professional information purposes. You may not reproduce, distribute, or otherwise exploit our website content without our prior written consent.

Prohibited Conduct In using our website, you agree not to:

The Concordia Partners name, logo, and the Concordia Partnership Architecture™ framework are proprietary to Concordia Partners LLC. Nothing on this website grants you any license or right to use our name, logo, trademarks, or proprietary methodologies without our express prior written consent.

Work Product

Ownership of work product developed in the course of a client engagement is governed by the applicable Engagement Agreement. Unless otherwise agreed in writing, Concordia Partners retains ownership of its proprietary methodologies, tools, templates, and frameworks, and grants clients a limited license to use deliverables for the purposes specified in the Engagement Agreement.

Your Content

By submitting information to us through our contact form or other means, you grant Concordia Partners a limited license to use that information solely for the purpose of evaluating and responding to your inquiry. You represent that you have the right to share any information you submit to us.

Confidentiality

We treat all information shared with us in the course of an inquiry or engagement with discretion and professionalism. We do not disclose client information to third parties except as described in our Privacy Policy or as required by applicable law.

Formal confidentiality obligations applicable to a specific engagement — including mutual non-disclosure — are addressed in the applicable Engagement Agreement. Clients who require a non-disclosure agreement prior to sharing sensitive information are encouraged to request one before submitting proprietary details.

Information submitted through our public contact form should not include trade secrets, proprietary financial data, or other highly sensitive information until a formal engagement agreement and appropriate confidentiality protections are in place.

Specific liability provisions applicable to a formal engagement are set forth in the applicable Engagement Agreement and may supersede the limitations above.`

You agree to indemnify, defend, and hold harmless Concordia Partners LLC and its principals, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of our website in violation of these Terms
  • Any information you provide to us that is inaccurate, misleading, or that you did not have the right to share 
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party rights

We reserve the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims.

Changes to these Terms do not affect the terms of any Engagement Agreement already in effect unless the parties expressly agree otherwise in writing.
